LEGAL NOTICE AND TERMS OF USE

1. Company Information

Side Piece Somedays is a limited liability company/corporation duly organized and registered under the laws of the State of Georgia.

All references in these Terms of Use to “the Company,” “we,” “us,” or “our” refer to Side Piece Somedays and its affiliates, subsidiaries, officers, directors, employees, agents, and assigns.

2. Acceptance of Terms

By accessing, browsing, or using this website (the “Site”) in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use (“Terms”), our Privacy Policy, and any additional terms and conditions that may apply to specific sections of the Site or to products and services available through the Site.

If you do not agree to these Terms, you must immediately discontinue use of the Site. We reserve the right to modify these Terms at any time, and your continued use of the Site following any such modification constitutes your acceptance of the revised Terms.

You represent and warrant that you are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, and have the legal capacity to enter into these Terms.

3. Intellectual Property Rights

All content on this Site, including but not limited to greeting card designs, artwork, illustrations, photographs, text, graphics, logos, icons, audio clips, digital downloads, data compilations, software, and the overall look and feel of the Site (collectively, “Content”), is the exclusive property of Side Piece Somedays or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Side Piece Somedays and its associated logos, product names, and service names are trademarks or registered trademarks of Side Piece Somedays. All other trademarks appearing on the Site are the property of their respective owners.

The compilation of all Content on this Site is the exclusive property of Side Piece Somedays and is protected by U.S. and international copyright laws. All rights not expressly granted herein are reserved by Side Piece Somedays.

No Content may be reproduced, distributed, republished, downloaded, displayed, posted, transmitted, or used in any form or by any means without the prior written permission of Side Piece Somedays, except as expressly provided in Section 4 below.

4. Permitted and Prohibited Uses

4.1 Permitted Uses

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to:

• Access and view the Site for personal, non-commercial purposes

• Purchase greeting cards and related products for personal use or gifting

• Share links to the Site via social media or email

• Print or download Content solely for your personal, non-commercial reference

4.2 Prohibited Uses

You may not, without the prior written consent of Side Piece Somedays:

• Reproduce, duplicate, copy, sell, resell, or exploit any Content or any portion of the Site for any commercial purpose

• Modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Site

• Remove, alter, or obscure any copyright, trademark, or other proprietary notices

• Use any robot, spider, scraper, or other automated means to access the Site

• Frame or mirror any part of the Site without our express written consent

• Reproduce, replicate, or create derivative works based on our greeting card designs, artwork, or text for commercial or resale purposes

• Use the Site to transmit any material that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable

• Interfere with or disrupt the Site, servers, or networks connected to the Site

• Attempt to gain unauthorized access to any portion of the Site or any systems or networks connected thereto

5. User Accounts and Registration

To access certain features of the Site, including placing orders and saving personalized designs, you may be required to create an account. When registering, you agree to:

• Provide accurate, current, and complete information

• Maintain and promptly update your account information

• Maintain the security and confidentiality of your login credentials

• Accept responsibility for all activities that occur under your account

• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms.

You may not transfer or assign your account to any third party without our prior written consent.

6. Purchases and Payment Terms

6.1 Product Descriptions and Pricing

We strive to provide accurate descriptions and pricing for all products offered on the Site. However, we do not warrant that product descriptions, pricing, or other Content is accurate, complete, reliable, current, or error-free. In the event of a pricing error, we reserve the right to cancel any orders placed at the incorrect price.

All prices are listed in U.S. Dollars unless otherwise indicated and are subject to change without notice. Applicable sales tax will be calculated and applied at checkout in accordance with Georgia, Illinois, and any other applicable state and local tax laws.

6.2 Order Acceptance

Your placement of an order constitutes an offer to purchase. All orders are subject to acceptance by Side Piece Somedays. We reserve the right to refuse or cancel any order at any time for reasons including, but not limited to, product availability, errors in product or pricing information, or suspected fraud.

An order confirmation email does not constitute acceptance of your order. Acceptance occurs only upon shipment of the product(s).

6.3 Payment

We accept the following payment methods: [Visa, MasterCard, American Express, Discover, PayPal, Apple Pay]. All payments are processed through our third-party payment processor.

By providing payment information, you represent and warrant that you are authorized to use the designated payment method and authorize us (or our payment processor) to charge the total order amount, including taxes and shipping, to your payment method.

7. Shipping and Delivery

We ship to addresses within the United States. Shipping options, estimated delivery times, and associated costs will be presented at checkout.

Estimated delivery dates are approximate and not guaranteed. Side Piece Somedays is not responsible for delays caused by carriers, weather, customs (for international orders), or other circumstances beyond our reasonable control.

Risk of loss and title for items purchased pass to you upon delivery to the carrier. It is your responsibility to ensure that the shipping address provided is accurate and complete. We are not responsible for orders shipped to incorrect addresses provided by the customer.

8. Returns and Refunds

8.1 Return Policy

Side Piece Somedays accepts returns of undamaged, non-personalized products within five (5) days of delivery. Personalized or custom-made greeting cards are not eligible for return unless they arrive damaged or with a printing error attributable to Side Piece Somedays.

8.2 Refund Process

To initiate a return, please contact us at sidepiecesomedays@gmail.com with your order number and reason for return. Approved returns must be shipped to 1102 North Kedvale Avenue, Chicago, Illinois 60651 within five (5) days of receiving return authorization.

Refunds will be processed to the original payment method within Fifteen (15) business days of receiving the returned item(s). Shipping costs are non-refundable unless the return is due to our error.

8.3 Damaged or Defective Items

If you receive a damaged or defective product, please contact us within two (2) days of delivery with photographic evidence of the damage. We will, at our discretion, issue a replacement or full refund, including return shipping costs.

9. User-Generated Content

Certain features of the Site may allow you to submit, upload, or create content, including but not limited to personalized messages, photographs, custom designs, reviews, and feedback (“User Content”).

9.1 License Grant

By submitting User Content, you grant Side Piece Somedays a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from your User Content in connection with the operation and promotion of the Site and our business.

9.2 Representations and Warranties

You represent and warrant that:

• You own or have all necessary rights to submit the User Content

• The User Content does not infringe upon any third party’s intellectual property rights, privacy rights, or other legal rights

• The User Content does not contain any material that is unlawful, defamatory, obscene, or otherwise objectionable

• The User Content does not contain viruses or other harmful code

9.3 Content Review

We reserve the right, but are not obligated, to review, edit, refuse, or remove any User Content at our sole discretion. We assume no responsibility or liability for any User Content submitted by you or any third party.

10. Disclaimer of Warranties

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SIDE PIECE SOMEDAYS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SIDE PIECE SOMEDAYS DOES NOT WARRANT THAT: (A) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USE OF THE SITE WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SITE WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE SITE WILL BE CORRECTED.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIDE PIECE SOMEDAYS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE SITE.

IN NO EVENT SHALL SIDE PIECE SOMEDAYS’ TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO SIDE PIECE SOMEDAYS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN SIDE PIECE SOMEDAYS AND YOU. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON CERTAIN DAMAGES, SO SOME OR ALL OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Side Piece Somedays, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:

• Your use of or access to the Site

• Your violation of these Terms

• Your violation of any third-party right, including any intellectual property, privacy, or proprietary right

• Any User Content you submit, post, or transmit through the Site

• Any claim that your User Content caused damage to a third party

• Your violation of any applicable law, rule, or regulation

This indemnification obligation shall survive the termination of these Terms and your use of the Site.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Illinois, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal courts of the United States located in Chicago, Illinois, or the state courts of the State of Illinois located in Cook County, Illinois. You irrevocably submit to the exclusive jurisdiction of such courts and waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

Notwithstanding the foregoing, Side Piece Somedays may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

You agree that the laws of the State of Illinois shall apply regardless of any conflict of law principles that would require the application of the laws of another jurisdiction.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Side Piece Somedays at sidepiecesomedays.com and attempt to resolve the dispute informally for a period of at least thirty (30) days.

14.2 Binding Arbitration

If the dispute cannot be resolved informally, you and Side Piece Somedays agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted by a single arbitrator in Chicago, Illinois. The arbitrator’s decision shall be final, binding, and enforceable in any court of competent jurisdiction. The arbitrator shall have the authority to grant any remedy or relief that a court could grant.

Each party shall bear its own costs and attorneys’ fees in the arbitration, unless the arbitrator determines that the claims were frivolous, in which case the arbitrator may award reasonable costs and fees to the prevailing party.

14.3 Class Action Waiver

YOU AND SIDE PIECE SOMEDAYS AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

14.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Additionally, claims within the jurisdiction of a small claims court may be brought in such court.

15. DMCA / Copyright Infringement Notice

If you believe that any Content on the Site infringes upon your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing Side Piece Somedays with the following information in writing:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf

• Identification of the copyrighted work claimed to have been infringed

• Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material on the Site

• Your contact information, including name, address, telephone number, and email address

• A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law

• A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner

Upon receipt of a valid DMCA notification, we will respond expeditiously to remove or disable access to the allegedly infringing material. We may also notify the alleged infringer and provide them an opportunity to submit a counter-notification.

16. Third-Party Links

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Side Piece Somedays. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

The inclusion of any link does not imply endorsement, approval, or recommendation by Side Piece Somedays. You acknowledge and agree that Side Piece Somedays shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party website or service.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

17. Modifications to Terms

Side Piece Somedays reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time. If a revision is material, we will provide at least five (5) days’ notice prior to any new terms taking effect by posting the revised Terms on the Site and updating the “Effective Date” above.

What constitutes a material change will be determined at our sole discretion. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. If you do not agree to the revised Terms, you must stop using the Site.

It is your responsibility to review these Terms periodically for changes. We encourage you to check this page frequently so you are aware of any modifications.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by Side Piece Somedays on the Site, constitute the entire agreement between you and Side Piece Somedays concerning the Site and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Side Piece Somedays with respect to the Site.

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Any failure by Side Piece Somedays to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
